• EligibilityYou must be at least 18 years old and have the authority to bind your business to these Terms.
• Individual loginsAccess is granted on a per-user basis. Account sharing is strictly prohibited - every user must have unique credentials.
• ResponsibilityYou are responsible for all activity on your account. If you suspect unauthorized access, notify us immediately at admin@advancii.com.

• Licence typesWe offer Annual Subscriptions and Project-Based Access. Your specific rights, feature limits, and duration are defined at purchase.
• ModificationsWe continuously improve the platform. We reserve the right to modify or withdraw features, with reasonable notice for material changes.
• MaintenanceScheduled maintenance is communicated in advance whenever possible. Emergency maintenance may occur without prior notice.

Your use of the Services is also governed by our Acceptable Use Policy, which is incorporated into these Terms by reference and controls in the event of conflict on permitted use. In addition, you agree not to:

• Upload, post, or transmit content that is illegal, infringing, or contains malicious code.
• Reverse-engineer, decompile, or attempt to extract the source code of our software.
• Use the Services to develop a competing product or service.
• Use automated systems (bots, scrapers) to extract data from the platform.
• Resell or sub-licence your access to any third party without our express written consent.

• Reasonable careWe provide our Services using reasonable care and skill consistent with industry standards.
• As-is disclaimerWhile we strive for accuracy, the Services are provided on an as-is and as-available basis. We do not guarantee freedom from bugs, errors, or interruptions.
• AccessibilityAdvancii targets conformance with WCAG 2.2 Level AA, as described in our Accessibility Statement.
• Responsible AIAI-assisted features are operated with human oversight and appropriate controls; outputs are decision support, not professional advice.
• Regulatory complianceIf changes in UK law affect our Services, we reserve the right to adjust the platform to remain compliant.

• Payment termsFees are payable in advance unless otherwise agreed in a signed Invoice Schedule.
• Late paymentsFailure to pay on time may result in immediate suspension of access until the balance is cleared.
• Price adjustmentsWe may change pricing. Changes apply to your next renewal period and we will provide at least 30 days' notice.

• Our IPAdvancii owns all rights to the software, branding, and proprietary algorithms used in the Services.
• Your contentYou retain ownership of all data and IP details you upload. You grant us a limited, non-exclusive licence to process this data solely to provide the Services.
• PrivacyOur use of your data is governed by the Advancii Privacy Policy, incorporated into these Terms by reference. Where Advancii processes personal data on a Customer's behalf, the data processing terms agreed with that Customer also apply.

• IntroductionsOur platform may facilitate introductions to third parties (e.g., IP insurance brokers or lenders).
• Independent contractsAny engagement with a third party is a separate contract between you and them.
• No endorsementAdvancii is a facilitator and does not guarantee the performance, suitability, or legality of third-party services.

• For convenienceEither party may terminate an annual subscription with six (6) months' written notice.
• For causeWe may suspend or terminate access immediately if you breach these Terms.
• Post-terminationYour right to use the Services ceases. You may request a return of your data within 30 days of termination, subject to a reasonable administrative fee.

• Cap on liabilityTo the maximum extent permitted by law, Advancii's total liability shall not exceed the fees paid by you in the 12 months preceding the claim.
• ExclusionsWe are not liable for any indirect, incidental, or consequential losses - lost profits, loss of data, or loss of business opportunity.
• Statutory rightsNothing in these Terms limits our liability for fraud, death, or personal injury caused by our negligence.

Both parties agree to keep "Confidential Information" (non-public business or technical data) private. This obligation does not apply to information that is already public, required by law to be disclosed, or requested by a regulatory body.

• Governing lawThese Terms are governed by the laws of England and Wales.
• JurisdictionAny disputes shall be subject to the exclusive jurisdiction of the courts of England.
• Entire agreementThese Terms (and any associated Order Form) constitute the entire agreement between us regarding the Services.
• UpdatesWe may update these Terms. Continued use of Advancii after changes are posted constitutes acceptance.
